「"own or control" というのは、これこれこういう意味だ」という定
義文の中の表現ですね。おそらく、大きな会社が子会社を持っている
とき、それを

XYZ Company owns or controls ABC Company.

というんでしょうけど、そういう場合の「子会社を所有または管理
（own or control）」するとはどういう意味かを法律的に説明してい
るんでしょうね。そこで、

XYZ Company directs or causes the direction of the managment
or policies of ABC Company.

と表現できるのでしょう。これは、次の二つの要素に分割できます
ね。

(a) XYZ Company directs the management or policies of ABC
Company.
(b) XYZ Company causes the direction of the management or
policies of ABC Company.

さて、ABC Company という子会社の経営(management)や policies（方
針）を、親会社である XYZ Company は direct（指揮）するわけです
ね。平たく言えば、親会社は子会社の経営の仕方について、いろいろ
と、ああしろこうしろと指図したり、「いちゃもん」（文句）をつけ
ることができるんですね。それを、(a) という文で表現しているわけ
なんだろうと思います。

次の (b) の to cause the direction of というのは、経営とか方針
の指揮を生じさせる（引き起こす）というわけですから、

to cause a third party to direct (the management or policies
of ABC Company)

という意味になると思います。つまり、第三者にそういうものを指揮
させるわけです。つまり、親会社の XYX Company は、＜自分で手を下
して＞子会社の ABC Company の経営や方針について指図したり文句を
つけたりすることもできますけど、＜他の者（第三者）にそういうこ
とを委託して＞、その第三者を通して文句をつけることもできるわけ
です。

以上のようなことを、法律をまるっきり知らない僕は英文そのものを
読んでいて想像しますけど、もし間違っていたら、どうぞ教えてくだ

私は南都さんと同じ解釈をしました。つまり

having the power to direct or cause the direction of the managementは、

the power to direct the management, or
the power to cause direction of the management

という解釈です。

nanasiさんは「指揮監督する」のdirectと「直接」のdirectを混同しておられません
か？この文の「direct（指揮する） or cause direction of（指揮させる）」という表
現が、nanasiさんが挙げられた例文中の「direct（直接）かindirect（間接）か」に相
当するのだと思います。つまり「direct the management」とは直接的に指揮を執ること
であり、「cause the direction of the management」が間接的に指揮を執ることという
ように対応しているわけです。

チワワさんはdirect(ion)を「監督」と訳しておられますが、この場合は経営権としても
う少し積極的な意味合いがあると思いますので、指揮あたりのほうが適切なような気が
します。

ところでこの文の前半ですが、「a comparable managing authority」をholdingの目的
語のように訳しておられますが、私はこれはboard of directorsと並列でselectの目的
語ではないかと思います。つまり「取締役、または同等の権限を有する役員の選任権が
付与される（＝所定数の）株式を保有していること」という内容です。株主なら誰でも
取締役になれるのではなく、一定の株を保有せねばなりません。それから重箱の隅をつ
つくようですが、「匹敵する」はこの種の文書にはちょっとなじみにくいような…。私
だけの感覚かもしれませんが。
